OURSPACELY TERMS OF SERVICE Last updated: February 18, 2026

  1. Platform Status – Technology Intermediary Only

OurSpacely is an online technology marketplace that connects independent Hosts offering temporary access to privately controlled spaces with Users seeking such access.

OurSpacely:

Does not own, lease, operate, manage, supervise, or control any listed space

Does not grant possession of real property

Is not a property manager, broker, housing provider, accommodation operator, or landlord

Is not a party to any agreement between Hosts and Users

All access arrangements are solely between independent users.

  1. License-Based Access Only – No Tenancy Created

All bookings constitute a limited, revocable, non-exclusive license to access a space for a defined period.

No booking creates:

A landlord-tenant relationship

A leasehold or possessory interest

A residency or housing right

Any occupancy protection

Access automatically terminates at the scheduled end time without notice.

Users expressly waive any claim that use of the platform creates tenancy, occupancy, or housing protections.

  1. Geographic Scope – United States Only

OurSpacely is currently offered only within the United States.

Users accessing the platform from outside the U.S. do so at their own risk and are solely responsible for compliance with local laws.

  1. Host Representations and Legal Compliance

By listing a space, a Host represents and warrants that:

The Host has full legal authority to grant temporary licensed access

The listing complies with zoning laws, HOA rules, and private agreements

The listing complies with municipal and state regulations

The Host maintains appropriate insurance coverage

OurSpacely does not verify compliance and expressly disclaims any duty to investigate.

  1. No Duty to Inspect or Monitor

OurSpacely has no obligation to:

Inspect spaces

Verify legal or regulatory compliance

Confirm Host authority

Monitor user conduct

Any action taken by OurSpacely is discretionary and does not create a duty.

  1. Assumption of Risk

Users voluntarily assume all risks associated with:

Entering private property

Physical or structural conditions

Equipment or furnishings

Interactions with Hosts or third parties

Access is provided as-is and at the User’s own risk.

  1. Insurance Disclaimer

OurSpacely does not provide:

Property insurance

Liability insurance

Personal injury coverage

Host or User protection programs

Hosts and Users are solely responsible for obtaining insurance.

  1. Release of Liability

To the maximum extent permitted by law, Users release and hold harmless:

OurSpacely, its owner(s), officers, affiliates, contractors, and agents

from all claims arising from or related to:

Access to any space

Property conditions

Acts or omissions of Hosts or Users

Injury, death, or property damage

California Civil Code §1542 Waiver

Users expressly waive California Civil Code §1542.

  1. Indemnification

Hosts and Users agree to defend, indemnify, and hold harmless OurSpacely from any claims, losses, fines, penalties, or legal fees arising from:

Listings or bookings

Regulatory or zoning violations

HOA or lease disputes

Injury, damage, or misrepresentation

This obligation survives termination.

  1. Limitation of Liability

To the maximum extent permitted by law:

OurSpacely shall not be liable for indirect or consequential damages

Total liability shall not exceed the greater of:

$100 USD, or

Service fees paid in the prior twelve (12) months

  1. Arbitration & Class Action Waiver

All disputes shall be resolved by binding arbitration in California under AAA rules.

Users waive jury trials and class or representative actions.

  1. Enforcement, Violations & Penalties A. Binding Effect of Community Rules

The OurSpacely Community Rules & Enforcement Policy are incorporated by reference. Violations constitute a material breach.

B. Enforcement Authority

OurSpacely may investigate, interpret, and enforce rules unilaterally and without notice.

C. Penalties

OurSpacely may:

Remove listings

Cancel access arrangements

Suspend or terminate accounts

Withhold or reverse payouts

Report activity to authorities

No compensation or refund is owed.

D. No Guaranteed Appeal

Appeals are discretionary and not guaranteed.

  1. Refund & Cancellation Policy

All payments relate to temporary licensed access.

Platform fees are non-refundable

Host access fee refunds follow Host-defined cancellation terms

No refunds for violations, enforcement actions, or misuse

Chargebacks without good-faith basis constitute misuse

Once access begins, payments are final except where required by law.

  1. Payment Disputes, Chargebacks & Fraud Protection

Payments made through OurSpacely are processed by third-party payment processors. OurSpacely does not control payment authorization decisions and is not a financial institution.

Users acknowledge and agree that:

Chargebacks or payment disputes initiated without a good-faith basis constitute misuse of the platform

Disputed or reversed transactions may result in account suspension, termination, or restricted access

OurSpacely may cooperate fully with payment processors, financial institutions, and law enforcement in investigations involving fraud, misuse, or unauthorized activity

Administrative, dispute-handling, or reversal fees may be deducted or recovered where permitted by law

OurSpacely is not responsible for losses arising from unauthorized payment activity except where required by applicable law.

  1. Taxes

Hosts are solely responsible for all taxes. OurSpacely provides no tax advice.

  1. Force Majeure

OurSpacely is not liable for delays or failures due to events beyond reasonable control.

  1. Survival

Sections relating to indemnification, arbitration, limitation of liability, enforcement, and taxes survive termination.

  1. Governing Law

These Terms are governed by the laws of the State of California.

  1. Acceptance

By creating an account, you agree to the Terms of Service, Privacy Policy, and Platform Rules & Enforcement Policy. If you offer a space, you also agree to the Host Agreement.

All access is temporary, licensed, and revocable.
